1. The UK Competition Regime and the CMA

On 5 February 2015, the National Audit Office (NAO) published a report entitled "The UK Competition Regime". The report assesses the performance of the UK competition regulators, focussing on the Competition and Markets Authority (CMA). It concludes that the CMA has inherited certain strengths, including a positive legacy of merger and market investigation work.

2. Dawson staff to wait on consultation decision

Dawson Books staff will have to wait longer to hear how they will be affected by the merger of their company with book wholesaler Bertrams, which was finalised last month.

Any details about Dawson staff transferring to Norwich where Bertrams is based, or any employees who might be subject to redundancy consultations, has been put on hold for between two-three weeks while proposals are finalised, a Dawson spokesperson told The Bookseller.

4. OFT delays Amazon/Book Depository decision

The Office of Fair Trading (OFT) has pushed back its decision on whether to refer the Amazon takeover of The Book Depository to the Competition Commission.

The decision was expected to be tomorrow (2nd September) after being delayed from earlier this week. However, an OFT spokesman said a date for the decision was now "to be confirmed". He said the timetable for an announcement could change for "any number of reasons", but declined to go into specifics.

5. OFT opens door to Bertrams/Dawson merger

The Office of Fair Trading will not refer the merger of Bertrams and Dawson to the Competition Commission, it said today.

Smiths News Plc, which owns book wholesaler Bertrams, announced the £20m deal to buy Dawson Holdings in early June, and referred the merger to the OFT “given the size of the transaction” for its “own comfort".

Smiths News said it was pleased with the decision and is now asking Dawson shareholders to officially agree to the sale by 3pm on 2nd August.

6. OFT set to probe Book Depository deal

The Office of Fair Trading (OFT) has announced it is to investigate Amazon’s acquisition of The Book Depository.

The official body has issued an “invitation to comment” notice asking for written representations about “any competition or public interest issues” with Amazon’s move to acquire the UK-based online book retailer, which was announced yesterday. A spokesman for the OFT said the invitation “effectively starts our merger enquiry”.
